The New York attorney general is investigating the parent company of MoviePass, a source familiar with the probe confirmed to CNN Business. The state is looking into whether Helios and Matheson (HMNY) misled investors about its finances, the source said. The investigation is being conducted under New York's Martin Act, an anti-fraud and investor protection law. The existence of the probe was first reported Wednesday by CNBC.The movie subscription service exploded in popularity last year when it began offering customers the ability to watch as many movies in theaters as they wanted for per month. But that business model proved unsustainable, and the company has since changed its subscription plans and pricing as well as the number of movies it makes available to its customers. As the company's troubles worsened this year, its stock price also cratered.Helios and Matheson stock was trading at an all-time high of nearly a share in October 2017. Now the stock is trading at 2 cents — and that's after the company approved a reverse split to boost the price 250-fold earlier this summer.Nasdaq has even warned Helios and Matheson that it could delist the stock.Helios and Matheson and MoviePass did not respond to requests for comment Wednesday. The company is wrestling with other problems as well.Board member Carl Schramm, an economist and Syracuse University professor, recently quit his job and claimed that executives mismanaged the business and withheld crucial information from the board.Purported stockholders have filed two federal class-action complaints against Helios and Matheson in August, claiming the company made "materially false or misleading" statements to the market. The company said at the time that it intended to "vigorously defend" itself and believed the complaints were "without merit."Last month, the company filed new paperwork with the Securities and Exchange Commission indicating that it was going to ask shareholders to vote on another reverse split — one that this time could increase the stock by as much as 500-fold.That meeting was scheduled to happen Thursday. In documents filed with the government on Tuesday, the company said the meeting would be moved to November 1 so stockholders had more time to consider the split before voting. 2323

The look on Seth Dixon’s face as he proposed to his girlfriend said it all, but not in the way you might think.According to a?post on wedding photographer Staci Dabney’s Facebook page, Dixon had taken his girlfriend, Ruth Salas, to Loose Park to ask her one of the most important questions in both of their lives."We've been dating for almost four years and we knew this day was coming," he explained. The setting was as picturesque as it gets. Imagine a beautiful wooden bridge stretching over a pond with gorgeous fall weather and lush greenery creating a dreamy background."I knew I wanted to propose (at Loose Park) just because it's kind of our spot," Dixon explained. "We just kind of fell in love with the park and the beauty of it."Of course, cameras were rolling as Dixon fell to his knee."Next thing you know, it's happening. I couldn't believe it," Salas explained. "At first, I was like, 'Oh my goodness. This is happening. He's on one knee.'" Excitement was written all over his and Salas’ faces, but their expressions soon turned to looks of horror.Dixon opened the little black box to reveal the ring… just before it flipped out of his hands, through a tiny crack in the boards of the bridge, and into that pond below."It ping-ponged through the crack and I hear it plop in the water," Salas said. "I didn't know what else to think but, 'Oh my goodness.'" ??????Friends of the couple got to work to try to find the ring, donning goggles and other swimming gear to search the neck-deep water for the lost band.Maddie Villareal, a longtime friend of Dixon, was one of the people who helped in the search."The bottom was the worst part because it was like slimy, muddy and there were sticks everywhere," she explained. "I know (finding the ring) was important to them. If it was me, I would hope they would do it for me."They sadly were not able to find it, so instead set up a GoFundMe page to help the couple purchase a new one.Amazingly, the couple now maintains a positive spirit following the incident."It's been a roller coaster. Emotions have been up and down," Dixon said. "After seeing the video over and over we just started laughing about it." Moving forward, the couple said the ring incident would add to the story of their relationship."We've been together for four years with ups and downs," Salas explained. "I'm not leaving him because of a lost ring." Dixon and Salas are set to tie the knot in October 2520

The Macy's Thanksgiving Parade will happen in 2020, but organizers say this year's production will be "reimagined.""Following our successful, safe, and innovative production of Macy’s 4th of July Fireworks, it is our intention to similarly reimagine Macy’s Thanksgiving Day Parade this November," Macy's announced on its website. The parade has kicked off the holiday season for over 90 years. Still, due to the coronavirus pandemic, things will look different in November, Mayor Bill de Blasio told reporters in a press conference on Friday.According to CNN, de Blasio said that some things might be virtual, and there might be some small in-person pieces.Organizers said more information about the parade would be released "later this fall." 751

The jury in Bill Cosby's retrial found the TV icon guilty of all three counts of aggravated indecent assault on Thursday for drugging and sexually assaulting Andrea Constand at his home in a Philadelphia suburb in 2004.The 80-year-old comedian faces up to 10 years in prison on each count, but would likely serve them concurrently. A sentencing hearing has not yet been scheduled, and he remains out on bail.Cosby did not have an audible reaction to his conviction, but erupted shortly afterward. Minutes after the verdict, prosecutors asked the judge to revoke Cosby's bail because they say he is a flight risk and has a private plane.Cosby, who did not testify in the trial and has sat quietly throughout the proceedings, then stood up and yelled in a loud, booming voice: "He doesn't have a plane, you asshole."Judge Steven O'Neill ruled that Cosby should not leave his Pennsylvania home, and that he would need to be fitted with a GPS tracking device. What the case was aboutThe case against Cosby centered on testimony from Constand, a former employee with Temple University women's basketball team. She testified that Cosby, a powerful trustee at Temple, drugged her and sexually assaulted her when she visited his home to ask for career advice.Cosby's defense team argued that their interaction was consensual. Constand is a con artist, they argued, who wanted a piece of Cosby's fortune. After the trial concluded, Constand left through a side door in the courtroom, walking into a hallway with her arms around two women and a huge smile on her face. The case is the first celebrity sexual assault trial since the #MeToo movement began last fall, and as such, represents a test of how the cultural movement will translate into a courtroom arena. In closing arguments, defense attorney Kathleen Bliss positioned Cosby's legal team as standing up against "witch hunts, lynchings (and) McCarthyism."Attorney Gloria Allred, who represents many of the women who have accused Cosby of misconduct, said this was the happiest she had been with a verdict in 42 years."We are so happy that finally we can say, women are believed. And not only on #MeToo but in a court of law where they are under oath, where they testified truthfully, where they are attacked," Allred said. "After all is said and done, women were finally believed."Cosby's attorney, Tom Mesereau, said he plans to appeal "very strongly.""We are very disappointed by the verdict. We don't think Mr. Cosby's guilty of anything and the fight is not over," he said. The guilty verdict is a remarkable turn of events for the man once known as "America's Dad." Cosby was a groundbreaking actor and the first African-American performer to win an Emmy for his role on "I Spy." His portrayal of the sweater-loving Cliff Huxtable on "The Cosby Show" was one of the first mainstream TV shows to feature a black upper-middle class family.Previous trial ended in a hung juryAlthough dozens of women have accused Cosby of sexual misconduct, only Constand's allegations resulted in criminal charges."I feel like I'm dreaming," Lili Bernard, who has accused Cosby of assault, said afterward. "I feel like my faith in humanity is restored."The verdict came a year after Cosby's previous trial ended in a mistrial, as a different panel of jurors said they were deadlocked and could not unanimously agree on a verdict. This jury began deliberating Wednesday around 11 a.m., and worked for more than 14 hours over two days to reach the verdict. At the retrial, five other Cosby accusers testified as "prior bad acts" witnesses and said that Cosby had drugged and assaulted them decades ago. Prosecutors said these women's stories showed that Cosby had a pattern in his actions and did not make a one-time mistake in his interactions with Constand.The-CNN-Wire 3806
