The New York attorney general is investigating the parent company of MoviePass, a source familiar with the probe confirmed to CNN Business. The state is looking into whether Helios and Matheson (HMNY) misled investors about its finances, the source said. The investigation is being conducted under New York's Martin Act, an anti-fraud and investor protection law. The existence of the probe was first reported Wednesday by CNBC.The movie subscription service exploded in popularity last year when it began offering customers the ability to watch as many movies in theaters as they wanted for per month. But that business model proved unsustainable, and the company has since changed its subscription plans and pricing as well as the number of movies it makes available to its customers. As the company's troubles worsened this year, its stock price also cratered.Helios and Matheson stock was trading at an all-time high of nearly a share in October 2017. Now the stock is trading at 2 cents — and that's after the company approved a reverse split to boost the price 250-fold earlier this summer.Nasdaq has even warned Helios and Matheson that it could delist the stock.Helios and Matheson and MoviePass did not respond to requests for comment Wednesday. The company is wrestling with other problems as well.Board member Carl Schramm, an economist and Syracuse University professor, recently quit his job and claimed that executives mismanaged the business and withheld crucial information from the board.Purported stockholders have filed two federal class-action complaints against Helios and Matheson in August, claiming the company made "materially false or misleading" statements to the market. The company said at the time that it intended to "vigorously defend" itself and believed the complaints were "without merit."Last month, the company filed new paperwork with the Securities and Exchange Commission indicating that it was going to ask shareholders to vote on another reverse split — one that this time could increase the stock by as much as 500-fold.That meeting was scheduled to happen Thursday. In documents filed with the government on Tuesday, the company said the meeting would be moved to November 1 so stockholders had more time to consider the split before voting. 2323

The plans were hatched, the eggs were boiled. It's time for the 140th White House Easter Egg Roll, taking place Monday on the South Lawn.Orchestrated by the East Wing, the festivities are Melania Trump's second crack at the Egg Roll as first lady and her first as a full-time White House resident. Last year, Trump, who was living in New York through the completion of the school year, oversaw the event, which marked a scaling-down and return to basics for the annual eggstravaganza. But this year's Egg Roll will showcase a first lady who has more fully embraced the role of White House hostess, just weeks before the White House holds its first formal state visit with France. This year's Egg Roll will feature activity stations, including the first lady's new addition of lawn bowling, as well as the egg rolling, egg and cookie decorating stations, a state egg display, cards for troops and costumed characters. The White House is expecting nearly 30,000 attendees at the event, which will feature entertainment from the US Marine, Army, Air Force and Navy Bands. Readers at the reading nook will include the first lady, director of national intelligence Dan Coats, Secretaries Elaine Chao and Betsy DeVos, and director of legislative affairs Marc Short. 1271

The Presidential Inaugural Committee, which consists of prominent Democrats helping to organize next month’s inauguration, are encouraging Americans to stay away from DC and watch the inauguration from home. The quadrennial inauguration of a president and vice president is typically attended by hundreds of thousands. The committee says in light of the pandemic, a large gathering should be avoided. While the committee said details will be released in the coming days, inauguration organizers said that the ceremony’s footprint will be extremely limited."Our goal is to create an inauguration that keeps people safe, honors the grand traditions of the Presidency, and showcases the Biden-Harris Administration’s renewed American vision for an inclusive, equitable, and unified citizenry,” said PIC CEO Tony Allen in a statement. While the organizers did not say the inauguration parade would be canceled, organizers said it would be “re-imagined.”Earlier this month, President-elect Joe Biden said he envisioned an inauguration akin to the virtual Democratic National Convention, which was held in August."First and foremost in my objective is to keep America safe but still allow people to celebrate," Biden said. "To celebrate and see one another celebrating."Other Inauguration Day events, such as the signing ceremony and luncheon the new president has with congressional leaders, are still unknown. As of now, the Joint Congressional Committee on Inaugural Ceremonies is unaware of any restrictions related to the pandemic. Those wishing to get a spot to view Biden’s inauguration can still request tickets to the event through their member of Congress.Another sign that the pomp and circumstance of this year’s inauguration will look different is this could be the first time in US history that a presidential inauguration fails to result in a smooth transfer of power. Outgoing President Donald Trump has continued to allege the election was stolen from him despite dozens of failed lawsuits and no formal prosecutions of widespread fraud. It has been a long-standing tradition that the incoming and outgoing president meet at the White House and travel to the Capitol together before the inauguration. On Monday, Biden issued his strongest condemnation of Trump’s refusal to concede the election."It is my sincere hope we never again see anyone subjected to the kind of threats and abuse we saw in this election. It's simply unconscionable. We owe these public servants a debt of gratitude. They didn't seek the spotlight, you know, and our democracy survived because of them,” Biden said. 2602

The Justice Department is preventing Senate investigators from interviewing two top FBI officials who could provide first-hand testimony over the firing of former FBI Director James Comey, the latest sign that Special Counsel Robert Mueller could be investigating the circumstances around the firing, officials tell CNN.The previously undisclosed turf war comes as the Senate judiciary committee has not yet given assurances to the special counsel's office that it could have unfettered access to the transcript of the interview it conducted last week with the President's eldest son, Donald Trump Jr., saying that the full Senate must first authorize the release of the information to Mueller's team. 709
